Pharmacy Terms and Conditions

These are the pharmacy partner terms presented for electronic acceptance in the Compounding Finder pharmacy portal.
1. Parties and scope
These Pharmacy Terms and Conditions (the "Terms") are entered into by Silverforge Holdings LLC d/b/a Compounding Finder ("Compounding Finder," "we," "us," or "our") and the pharmacy, pharmacy organization, or other account holder that accepts these Terms through the Compounding Finder pharmacy portal ("Pharmacy" or "you").
These Terms govern Pharmacy access to and use of the Compounding Finder pharmacy portal, quote workflows, pharmacy profile tools, pricing and availability tools, referral coordination, support, reporting, billing support, and related services (collectively, the "Services").
The individual accepting these Terms on behalf of Pharmacy represents that they are authorized to bind Pharmacy. Electronic acceptance is intended to create a legally binding agreement to the fullest extent permitted by applicable law.
2. Relationship of the parties
Compounding Finder provides technology, marketplace, coordination, and administrative services. Compounding Finder is not a pharmacy, prescriber, health care provider, pharmacy benefit manager, insurer, or third-party payer.
Pharmacy is solely responsible for pharmacy practice, professional judgment, prescription verification, compounding, dispensing, labeling, counseling, shipping, patient communications, billing, collection, adverse event handling, recalls, and any decision to accept, decline, modify, or cancel an order.
Nothing in the Services requires Pharmacy to fill a prescription or provide a medication. Pharmacy must refuse, pause, or cancel any request that Pharmacy determines is unlawful, unsafe, clinically inappropriate, outside Pharmacy licensure or capabilities, or otherwise inconsistent with Pharmacy professional obligations.
3. Pharmacy eligibility and compliance
Pharmacy will maintain all licenses, permits, registrations, professional credentials, accreditations, and authorizations required for its operations and for each jurisdiction where Pharmacy offers, ships, dispenses, or otherwise provides pharmacy services.
Pharmacy is responsible for complying with all laws, regulations, board rules, standards of practice, payer rules, and professional obligations applicable to Pharmacy, including requirements relating to prescriptions, compounding, controlled substances, sterile and non-sterile preparation, shipping, labeling, patient counseling, recordkeeping, privacy, security, advertising, pricing, billing, taxes, and patient communications.
Pharmacy will promptly notify Compounding Finder if any license, registration, permit, accreditation, inspection status, disciplinary status, or other eligibility information provided to Compounding Finder becomes inaccurate, suspended, restricted, revoked, expired, or otherwise materially changed.
4. Portal accounts and security
Pharmacy is responsible for all activity under its portal accounts, including activity by owners, employees, contractors, agents, and other users granted access by Pharmacy.
Pharmacy will provide accurate account information, keep credentials secure, limit access to authorized personnel with a legitimate business need, promptly remove users who no longer need access, and notify Compounding Finder promptly of suspected unauthorized access or account compromise.
Pharmacy may not share access codes, tokens, passwords, patient links, or other portal credentials outside Pharmacy authorized workforce or use another pharmacy account without permission.
5. Quotes, pricing, and availability
Pharmacy is responsible for the accuracy, completeness, and timeliness of quotes, prices, availability, turnaround estimates, shipping information, dosage forms, ingredient information, and other information submitted through the Services.
Pharmacy will not submit misleading, incomplete, bait-and-switch, or knowingly inaccurate pricing or availability information. If Pharmacy discovers that a submitted quote or profile value is inaccurate, unavailable, clinically inappropriate, or cannot be honored, Pharmacy will promptly update the portal or notify Compounding Finder and the affected requester as appropriate.
A quote does not override Pharmacy's professional judgment, legal obligations, prescription requirements, patient safety obligations, or right to decline a request. Pharmacy remains responsible for final order acceptance, payment terms, fulfillment, and patient service.
If Pharmacy provides pricing, availability, service area, turnaround, shipping, dosage form, ingredient, accreditation, license, or similar operational information to Compounding Finder, Pharmacy grants Compounding Finder permission to use that information to operate the Services, match requesters with pharmacies, support quote comparison, maintain pharmacy profiles, create internal reports, and display non-patient identifying marketplace or comparison information where appropriate.
6. Patient and requester communications
The Services may facilitate communications among Pharmacy, patients, prescribers, clinics, caregivers, or other requesters. Pharmacy is responsible for confirming the identity, authority, prescription status, payment responsibility, and communication preferences of any person with whom Pharmacy communicates.
Compounding Finder does not guarantee that any quote request, referral, lead, message, profile view, or patient selection will result in a prescription, order, payment, refill, ongoing relationship, or particular business outcome.
Pharmacy will communicate with patients, prescribers, and requesters in a professional, lawful, non-misleading manner and will honor applicable opt-out, consent, privacy, and communication-channel requirements.
7. Fees and payment
Any fees charged by Compounding Finder are the fees displayed in the portal, described in an invoice, or agreed in a separate written agreement. Pharmacy is responsible for reviewing fee terms before using a paid workflow.
Pharmacy is responsible for determining whether any fee, referral arrangement, marketing arrangement, lead arrangement, or other payment connected with the Services is permissible for Pharmacy under applicable federal and state laws, including fraud and abuse, anti-kickback, fee-splitting, patient inducement, corporate practice, pharmacy board, advertising, and professional conduct rules.
Compounding Finder may suspend, modify, or decline a fee arrangement or workflow if we believe it creates legal, compliance, billing, reputational, security, patient safety, or operational risk.
Unless a separate written agreement states otherwise, fees are non-refundable once the related paid workflow has been delivered or made available. Pharmacy is responsible for applicable taxes, payment processing charges, chargebacks, and collection costs except to the extent prohibited by law.
8. Privacy, HIPAA, and data use
When Compounding Finder creates, receives, maintains, or transmits Protected Health Information on behalf of Pharmacy, the Pharmacy Business Associate Agreement presented in the portal applies and is incorporated into these Terms for HIPAA matters.
Pharmacy will not submit unnecessary patient information, highly sensitive information, or regulated information unless it is reasonably necessary for the applicable workflow and Pharmacy has authority to share it.
Compounding Finder may use portal activity, quote data, pricing data, availability data, communications metadata, and other non-patient identifying information to operate, secure, troubleshoot, improve, measure, and report on the Services. Compounding Finder may use aggregated or de-identified information for analytics, benchmarking, marketplace insights, product development, and public-facing comparison or education content.
Each party will use reasonable administrative, technical, and physical safeguards appropriate to the information it handles through the Services.
9. Pharmacy content and marks
Pharmacy grants Compounding Finder a non-exclusive, worldwide, royalty-free license to use Pharmacy name, trade names, logos, service marks, profile information, accreditation information, license information, pricing information, availability information, and other content Pharmacy provides as reasonably necessary to provide, market, display, support, and improve the Services.
Pharmacy represents that it has the rights necessary to provide Pharmacy content to Compounding Finder and that Pharmacy content will not be false, misleading, unlawful, infringing, or inconsistent with Pharmacy professional obligations.
Compounding Finder may edit formatting, normalize data, remove duplicate information, and decline, hide, suspend, or remove Pharmacy content that we believe is inaccurate, outdated, unlawful, misleading, unsafe, inappropriate, or inconsistent with the Services.
10. Prohibited conduct
Pharmacy may not use the Services to violate law, misrepresent Pharmacy credentials or capabilities, submit false information, interfere with portal security, access data without authorization, scrape or copy the Services, reverse engineer software, transmit malware, spam requesters, harass users, or use the Services for unlawful marketing, prescription diversion, fraud, or abuse.
Pharmacy may not use patient, prescriber, clinic, or requester information obtained through the Services for purposes unrelated to the applicable quote, referral, order, support, compliance, or legally permitted follow-up unless Pharmacy has an independent lawful basis to do so.
11. Confidentiality
Each party may receive non-public business, technical, pricing, operational, patient, requester, security, or other confidential information from the other party. The receiving party will use confidential information only for purposes of the Services, protect it using reasonable care, and disclose it only to personnel, contractors, advisors, or service providers with a legitimate need to know and appropriate confidentiality obligations.
Confidentiality obligations do not apply to information that is publicly available without breach, independently developed without use of the other party confidential information, lawfully received from a third party without confidentiality restriction, or required to be disclosed by law after reasonable notice if legally permitted.
12. Suspension and termination
Either party may stop using or providing the Services as permitted by the applicable workflow, portal controls, or written agreement. Compounding Finder may suspend or terminate Pharmacy access if we believe Pharmacy has violated these Terms, created legal or compliance risk, provided inaccurate information, failed to pay applicable fees, compromised security, or used the Services in a way that may harm patients, requesters, pharmacies, Compounding Finder, or the integrity of the marketplace.
After suspension or termination, Pharmacy remains responsible for orders, prescriptions, patient communications, payments, refunds, recalls, complaints, legal obligations, and records arising from Pharmacy activity before termination. Sections that by their nature should survive will survive, including payment, privacy, confidentiality, data use, intellectual property, disclaimers, limitation of liability, indemnification, and dispute terms.
13. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Compounding Finder disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, and uninterrupted or error-free operation.
Compounding Finder does not verify every prescription, quote, communication, license status, patient representation, prescriber representation, payment representation, or pharmacy representation in real time. Pharmacy must perform its own professional, clinical, legal, operational, and payment checks before acting.
Compounding Finder does not provide medical, pharmacy, legal, tax, billing, reimbursement, or compliance advice to Pharmacy. Pharmacy should consult its own professional advisors for those matters.
14. Limitation of liability
To the maximum extent permitted by law, Compounding Finder will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for lost revenue, lost goodwill, lost data, business interruption, substitute services, or pharmacy-patient disputes, even if advised of the possibility of those damages.
To the maximum extent permitted by law, Compounding Finder's total liability arising out of or relating to the Services or these Terms will not exceed the fees paid by Pharmacy to Compounding Finder for the Services giving rise to the claim during the three months before the event giving rise to liability, or one hundred dollars if Pharmacy paid no fees during that period.
15. Indemnification
Pharmacy will defend, indemnify, and hold harmless Compounding Finder and its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against claims, damages, losses, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to Pharmacy use of the Services, Pharmacy content, Pharmacy products or services, prescriptions handled by Pharmacy, Pharmacy communications, Pharmacy fees or billing, Pharmacy violation of law or professional obligations, Pharmacy breach of these Terms, or Pharmacy negligence, willful misconduct, fraud, or security failure.
16. Changes to these Terms
Compounding Finder may update these Terms from time to time. If an update materially changes Pharmacy rights or obligations, Compounding Finder may require Pharmacy to accept the updated Terms before continuing to use the portal or certain workflows.
The version and effective date above identify the Terms presented for electronic acceptance in the pharmacy portal.
17. Governing law and contact
These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles, except to the extent federal law controls.
